TERMS AND CONDITIONS

By accessing or using Collector Chassis ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Platform.

Collector Chassis is operated by Collector Chassis, Inc., a New York Corporation, in partnership with BMW Car Club of America, Inc. ("BMW CCA").

"Seller" - A registered user who lists a vehicle, part, or memorabilia item for sale on the Platform.

"Buyer" - A registered user who purchases or bids on a vehicle, part, or memorabilia item on the Platform.

"User" - Any person who accesses or uses the Platform, whether as a Seller, Buyer, or browser.

"Listing" - A vehicle, part, or memorabilia item posted for sale on the Platform.

"Auction" - A time-limited competitive bidding format where the highest bidder wins the Listing.

"General Listing" - A fixed-price "Buy It Now" format where the first buyer to accept the price wins the Listing.

"Buyer Premium" - The fee paid by the Buyer to Collector Chassis upon completion of a transaction.

"BMW CCA Member" - A current, paid member of BMW Car Club of America with an active membership number.

3.1 Registration
Users must register for an account to list items or make purchases. You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Age Requirement
You must be at least 18 years old to use the Platform.

3.4 Prohibited Users
We reserve the right to refuse service to anyone for any reason at any time. We may suspend or terminate accounts that violate these Terms.

4.1 Seller Eligibility
Sellers must:

• Own the item being listed or have explicit authorization to sell it
• Have legal title to vehicles or clear ownership of parts/memorabilia
• Not be listing items on behalf of a dealership without prior written approval

4.2 Listing Accuracy
Sellers must:

• Provide accurate descriptions, photos, and specifications
• Disclose all known defects, damage, or issues
• Not misrepresent the condition, history, or specifications of items
• Provide a valid VIN for all vehicles

4.3 Prohibited Items
The following may not be listed:

• Stolen or illegally obtained items
• Items with forged or altered titles
• Vehicles with active liens without full disclosure
• Counterfeit parts or memorabilia
• Salvage title vehicles without clear disclosure
• Vehicles with undisclosed frame damage or major accidents

4.4 Exclusive vs Non-Exclusive Listings
Exclusive Listings: Free to list. Item must not be listed on any other platform (Bring a Trailer, Cars & Bids, eBay, Facebook Marketplace, etc.) during the active listing period.

Non-Exclusive Listings: $99 fee. Item may be cross-posted on other platforms.

If we discover an "Exclusive" listing is actually cross-posted, we reserve the right to:

• Convert it to a Non-Exclusive listing and charge the $99 fee
• Remove the listing
• Suspend the Seller's account

4.5 Photography Requirements
Auctions and General Listings require a minimum of 50 high-quality photos. Photos must accurately represent the item's current condition.

5.1 Auction Duration
Auctions typically run for 7-10 days and end at a specified date and time displayed on the Listing page.

5.3 Reserve Prices
Sellers may set a reserve price (minimum acceptable sale price). If bidding does not reach the reserve, the Seller is not obligated to sell and Auction converts to a General Listing with a Buy Now price. Reserve prices are not disclosed to Buyers.

5.4 Winning Bid
The highest bidder when the auction ends wins the item, provided the reserve (if any) has been met.

5.5 Post-Auction Communication
Buyer and Seller are connected via email immediately after auction end. They must communicate directly to arrange payment and pickup/shipping.

6.1 Fixed Price
General Listings have a fixed "Buy It Now" price set by the Seller. Buyers can make offers and the seller has up to 7 days to accept or reject offer.

6.2 Purchase Process
The first Buyer to click "Buy Now" and complete the buyer premium payment wins the item.

6.3 Seller Obligations
Seller must honor the sale unless:

• Buyer fails to complete payment within 7 days
• Item is no longer available due to circumstances beyond Seller's control (theft, total loss, etc.)

7.2 BMW CCA Member Discount
Qualifying transactions will offer $100 off the buyer premium to purchase a one year Membership ($75) in the BMW CCA.

7.3 Payment Processing
Buyer premiums are charged via credit card (Stripe) immediately upon:

• Auction end (for winning bidder)
• "Buy It Now" click (for General Listings)

Payment processing fees are included in the buyer premium. No additional fees are charged by Collector Chassis.

7.5 Sale Price Payment
The sale price is paid directly from Buyer to Seller, not through Collector Chassis. Acceptable payment methods include:

• Wire transfer
• Zelle
• Cashier's check
• Cash (for local transactions)
• Personal check (if Seller agrees to wait for clearance)

Collector Chassis is not involved in sale price payments and assumes no liability for payment disputes.

7.6 Secure Transaction with KeySavvy
Collector Chassis has partnered with KeySavvy, a trusted automotive transaction platform that provides escrow services, secure payment processing, and title transfer assistance to protect both buyers and sellers throughout the transaction process. Please note that there is an additional fee for both seller and buyer to use this service.

7.7 Refunds
Buyer premiums are non-refundable except in the following cases:

• Listing was fraudulent or misrepresented
• Seller refuses to complete the transaction without valid cause
• Item does not exist or is not as described

Refund requests must be submitted within 14 days of transaction completion.

8.1 Buyer Obligations
Buyers must:

• Pay the buyer premium immediately (automatic via Stripe)
• Contact the Seller within 24 hours of sale
• Pay the sale price to the Seller within 3-5 business days
• Arrange pickup or shipping within 14 days

8.2 Seller Obligations
Sellers must:

• Respond to Buyer contact within 24 hours
• Provide clear payment instructions (wire info, Zelle, etc.)
• Make the item available for pickup within 14 days
• Provide clean title (vehicles) or proof of ownership (parts)
• Assist with shipping arrangements if applicable

8.3 Title Transfer
For vehicles, Seller must provide:

• Signed title
• Bill of sale
• Any applicable lien releases
• Emissions or safety inspection certificates (if required by Buyer's state)

Buyer is responsible for registering the vehicle in their name and paying all applicable taxes and fees to their state DMV.

8.4 Shipping
Unless otherwise agreed:

• Buyer arranges and pays for shipping
• Seller must make vehicle available for pickup by shipper
• Seller should not release vehicle until payment clears

Collector Chassis does not arrange shipping and is not responsible for shipping issues.

By listing an item, Seller represents and warrants that:

• They have legal ownership and right to sell the item
• All descriptions, photos, and specifications are accurate
• The item is free of liens (or liens are fully disclosed)
• There are no undisclosed major defects
• The item complies with all applicable laws

Seller agrees to indemnify Collector Chassis against any claims arising from breaches of these representations.

10.1 Pre-Purchase Inspection
Buyers are strongly encouraged to inspect items in person or hire a professional inspector before bidding or purchasing.

10.2 "As-Is" Sales
All sales are final and "as-is, where-is" unless otherwise stated in writing by the Seller.

Collector Chassis does not inspect items and makes no warranties about condition, fitness for purpose, or merchantability.

10.3 Disputes
If an item is materially different from its description (e.g., undisclosed accident damage, non-matching VIN, major mechanical issues not disclosed), Buyer should:

1. Document the issue with photos and evidence
2. Contact Seller immediately to attempt resolution
3. If unresolved, contact Collector Chassis support within 7 days

We will mediate disputes but cannot force refunds or returns. Our maximum liability is limited to refunding the buyer premium.

Users may not:

• Create multiple accounts to manipulate bidding
• Bid on their own items (shill bidding)
• Make fake bids with no intent to purchase
• Harass, threaten, or abuse other users
• Use the Platform for any illegal purpose
• Scrape, data-mine, or use automated tools to access the Platform
• Circumvent or manipulate fees (e.g., completing sales off-platform to avoid buyer premium)
• Post false, misleading, or fraudulent listings

Violations may result in account suspension, legal action, and reporting to law enforcement.

12.1 Platform Content
All content on Collector Chassis, including text, graphics, logos, and software, is owned by Collector Chassis, Inc. or its licensors and is protected by copyright and trademark laws.

12.2 User Content
By posting photos or descriptions, you grant Collector Chassis a non-exclusive, worldwide, royalty-free license to use, display, and promote your content on the Platform and in marketing materials.

You retain ownership of your content but warrant that you have the right to grant this license.

12.3 BMW Trademarks
BMW trademarks and logos are property of BMW AG. Use of BMW marks is permitted for descriptive purposes only (e.g., "1987 BMW M3") and does not imply endorsement by BMW AG.

13.1 Privacy Policy
Our use of your personal information is governed by our Privacy Policy, available at collectorchassis.com/privacy.

13.2 Communications
By creating an account, you consent to receive:

• Transactional emails (auction updates, payment confirmations)
• Marketing emails (new listings, platform updates)
• SMS notifications (if you opt in)

You may unsubscribe from marketing emails at any time.

13.3 BMW CCA Membership Verification
We support Single Sign On (SSO) for BMW CCA members to use their credentials to login to Collector Chassis.

14.1 Platform Provided "As-Is"
Collector Chassis is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied.

14.2 No Guarantee of Service
We do not guarantee that:

• The Platform will be uninterrupted or error-free
• Listings will result in sales
• Buyers will complete purchases
• Items are as described

14.3 Limitation of Damages
Collector Chassis' total liability for any claim arising from use of the Platform is limited to the amount of buyer premium paid in that transaction, or $500, whichever is less.

We are not liable for:

• Lost profits or business
• Indirect, consequential, or punitive damages
• Disputes between Buyers and Sellers
• Condition or quality of items
• Payment disputes or non-payment
• Title issues or ownership disputes
• Injuries, damages, or losses arising from vehicle use

14.4 Seller-Buyer Relationship
Transactions occur directly between Buyers and Sellers. Collector Chassis is a marketplace platform, not a party to the transaction. We do not take possession of items, handle payments of sale prices, or warrant items.

You agree to indemnify and hold harmless Collector Chassis, Inc., BMW CCA, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Platform
• Your breach of these Terms
• Your violation of any law or third-party rights
• Content you post
• Disputes with other Users

16.1 Informal Resolution
Before filing a claim, you agree to contact us at team@collectorchassis.com to attempt informal resolution.

16.2 Arbitration
Any dispute arising from these Terms or use of the Platform shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except:

• Small claims court disputes (under $10,000)
• Intellectual property disputes
• Injunctive relief requests

Arbitration shall be conducted in New York, New York.

16.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in a class action or class-wide arbitration.

16.4 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

Material changes will be communicated via email to registered users.

18.1 Termination by User
You may close your account at any time by contacting support. You remain liable for any pending transactions or obligations.

18.2 Termination by Collector Chassis
We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent activity
• Abusive behavior
• Non-payment of fees
• Any reason, at our discretion

18.3 Effect of Termination
Upon termination:

• Your right to use the Platform ends immediately
• We may delete your account and content
• You remain liable for all pending obligations
• Sections on Limitation of Liability, Indemnification, and Dispute Resolution survive termination

19.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Collector Chassis regarding use of the Platform.

19.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

19.3 No Waiver
Our failure to enforce any provision does not waive our right to enforce it later.

19.4 Assignment
You may not assign or transfer these Terms. We may assign our rights and obligations to any party at any time.

19.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, strikes, etc.).
